IMO you refactor bug free code in order to a) bring it in line with your current organizational standards. b) remove confusing lines of code or algorithms. c) move forward the code base to a more recently versions of your platform. For example .net 3.5, 4.0, 4.5, 4.5.2, 4.6 d) learn the code.
